Terms and Conditions

Effective Date: 25 March 2026

These Terms and Conditions (“Terms”) govern your access to and use of the Zapi Dial service (“Service”) provided by Inovitrix Technologies (“Company,” “we,” “our,” or “us”). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Service – the cloud-based WhatsApp Business API campaign management platform operated by the Company.
  • User / you – any individual or business entity that registers for or uses the Service.
  • Tenant – an isolated workspace created upon registration.
  • Content – any text, images, templates, or messages you send via the Service.
  • Meta – Meta Platforms, Inc., the operator of the WhatsApp Business API.

2. Acceptance of Terms

By creating an account, clicking “I agree,” or using any part of the Service, you confirm that: (a) you are at least 18 years old; (b) you have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent; and (c) you have read and understood these Terms and our Privacy Policy.

3. Account Registration

You must provide accurate, current, and complete information when registering. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account, whether authorised by you or not.
  • Notifying us immediately at legal@inovitrix.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Meta WhatsApp Business API Compliance

The Service operates on Meta's WhatsApp Business API. You agree to comply at all times with:

  • WhatsApp Commerce Policy
  • Meta Platform Terms
  • Meta's messaging guidelines, including opt-in and opt-out requirements.
  • All applicable laws regarding commercial electronic messaging (TRAI regulations in India, CAN-SPAM, GDPR as applicable).

Breach of Meta's policies may result in suspension of your WhatsApp Business Account by Meta, for which the Company is not liable.

5. Permitted Use

You may use the Service only to:

  • Send WhatsApp messages to individuals who have provided explicit opt-in consent to receive communications from you.
  • Manage approved Meta message templates, contact lists, and campaign analytics.
  • Access the Service for lawful business purposes consistent with these Terms.

6. Prohibited Uses

You must NOT use the Service to:

  • Send unsolicited messages (spam) or messages to contacts who have opted out.
  • Transmit, distribute, or store content that is illegal, defamatory, harassing, obscene, fraudulent, or that infringes third-party rights.
  • Impersonate any person, entity, or brand without authorisation.
  • Conduct phishing, scams, or any form of deceptive messaging.
  • Attempt to reverse-engineer, decompile, or interfere with the Service or its underlying technology.
  • Resell, licence, or offer the Service to third parties without our written consent.
  • Violate any applicable law, regulation, or Meta policy.

Violations may result in immediate account suspension and may attract legal liability.

7. Contact Data & Messaging Consent

You are solely responsible for ensuring that all contacts in your account have given express, informed consent to receive WhatsApp messages from your business. You must maintain records of consent and honor all opt-out requests promptly. The Company provides opt-out tracking tools within the Service; however, the legal obligation to comply with opt-out requests rests entirely with you.

8. Billing and Payments

  • Subscription fees are charged in advance on a monthly basis via Razorpay, our authorised payment processor.
  • All prices are in Indian Rupees (INR) and are inclusive of applicable taxes.
  • Failure to pay may result in suspension of your account until payment is received.
  • You authorise the Company to charge the payment method on file for recurring subscription fees.

9. Refund Policy

  • 0–3 days after payment: Full refund eligible.
  • 4–10 days after payment: Prorated partial refund based on unused days.
  • After 10 days: No refund.
  • Refund requests must be submitted to legal@inovitrix.com with your account details and payment reference.

10. Intellectual Property

The Service and all its components (code, design, branding) are the exclusive property of Inovitrix Technologies and are protected by Indian and international intellectual property laws. You retain ownership of any Content you upload but grant the Company a limited licence to process and transmit it solely for providing the Service.

11. Privacy

Your use of the Service is also governed by our Privacy Policy and Data Protection Policy, which are incorporated herein by reference.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranty of any kind. The Company does not warrant that the Service will be uninterrupted, error-free, or that messages will be delivered. Delivery is subject to Meta's API availability and the recipient's device and network conditions.

13. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of, or inability to use, the Service, even if advised of the possibility of such damages. The Company's total aggregate liability to you shall not exceed the fees paid by you in the three months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any Content transmitted through your account.

15. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through the billing settings in your account. The Company may suspend or terminate your access immediately and without notice for violations of these Terms. Upon termination, your access will be revoked and your data may be retained for the period required by law before deletion.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top and, for material changes, notify you by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India. Before initiating any formal proceedings, the parties agree to attempt to resolve disputes through good-faith mediation.
